Duty to declare conflict of interest

A director who has any direct or indirect personal, professional, business or pecuniary interest in any matter which falls to be considered by the Board is required on each and every occasion on which the matter comes before the Commission, as soon as reasonably practicable, to complete a written declaration of interest in such form as may be approved by the Board and submit it to the Chairman.

A director who has declared an interest is required to withdraw from any meeting whilst the matter in respect of which he has declared an interest is being considered by the Board and shall not express any view or take part in any vote concerning the matter.
